Company Charter — Your Internal Constitution

Many consider the company charter to be a mere formality for registration, but that is not the case. The charter is your company’s internal law: it determines how decisions are made, how shares are allocated, who is responsible for what, and the procedures for shareholders’ exit and admission of new participants.
If the charter is drafted with errors or copied from a generic template, it may impede opening bank accounts, give rise to internal conflicts and partner disputes, and even lead to litigation.
By carefully setting out the decision‑making structure, share transfer mechanisms and the founders’ powers in the charter, you protect your business from unforeseen situations.
